1994 down shifts after 65 mph why?

My 1994 Nissan Altima down shifts after it hits 65 mph.  It seems to think it is loosing
power and down shifts and goes from 2500 rpms to 3500 rpms.  Any ideas why?

Had a mustang that did this, was a bad vac. Hose but the trans shifted off vac.
