i have a 2004 x-type that has suddenly started going into fail-safe mode for no particular reason.

Talked to the dealership and they said that i could be anything from a brake light to the transmission that needs to be replaced. I've read some forums and am seeing that if this happens, you should sell out quick. Anyone have any suggestions or thoughts?

Sounds like it would be worth it to me to have the diagnosis done so you know exactly what the problem is. Then you can make an informed decision from there. It'll be hard either to trade or private-sell this vehicle if it truly is kicking into failsafe mode (which usually means won't shift out of 2nd gear, etc.) without warning.
These cars have a problem with moisture affecting transmission control module (under hood on drivers side). If "check engine light" is on then transmission won't shift into higher gears= transmission control module= $800 for TCM. Good luck.
I had the same thing ..it was my throttle body. I dont remember the codes but it was shorting out and causing the safe mode to kick in. the probable cause was the air filter gotten from nat;l chain did not fit correctly and was allowing dirt into the system car had right at 100k when this happened
