No 02 has a 3800 series 2 engine and the 04 has a 3800 series 3 the intermediate pipe/catalytic converter is one piece on an 04 they are separate pieces on the 02 (intermediate pipe connects the exhaust manifolds into one exhaust pipe simple explanation for a v style engine)
