2004 Dodge Ram 1500 4x4 hemi transmission question

I have a 2004 dodge ram 1500 4x4 5.7 hemi. When in drive it takes off smooth, not hesitation, shifts fine into 2nd without slipping but when going into 3rd it acts like it goes into neutral. If I put it in tow/haul mode it starts out fine, shifts into 2nd fine, shifts into 3rd fine, but when it tries to go to overdrive it acts like it goes into neutral. Codes are P0700, P0935, P0734, P0420 and P0430. Transmission shop is saying it needs a new trans but I'm not convinced they drove down to the root cause because he said it was also reading high trans temps when it's not hot so there could be sensor or computer issues. Anyone else have this problem?

Gene - So is this a rebuild situation or whole new trans? What about the P0935 pressure sensor code. Could lack of pressure cause OD to slip which caused the 734?
